1. Scope of Work

Jon Bird Carpentry will provide labour, materials, equipment, and services as required for the project. Work is limited to the scope described in the estimate.

2. Compensation

2.1 Labour

Principal Carpenter: $125/hour

Carpenter: $85/hour

Labourer: $75/hour

Billed in 30-minute increments; 2-hour minimum per site visit.

2.2 Materials

Billed at cost plus 15% markup. Receipts available upon request. Includes sourcing, purchasing, delivery, handling, storage, waste, returns, and associated credit and warranty risk.

Material pricing is subject to market availability and supplier increases. Any material costs exceeding the anticipated budget due to unforeseen conditions will be reviewed with and approved by the client prior to proceeding.

2.3 Equipment & Subcontractors

Equipment billed at agreed rates. Subcontractors billed at cost plus 15%, unless otherwise agreed.

2.4 Deposits

A 30% deposit is required prior to scheduling or commencement of work unless otherwise waived. Deposit amounts will be applied to the final invoice and are non-refundable once materials are purchased or work has commenced.

3. Estimates

All estimates are non-binding and subject to change based on actual site conditions and scope.

4. Invoicing & Payment

Invoices are issued weekly and are due Net 7 days. Overdue amounts accrue interest at 2% per month (24% annually).

The Contractor reserves the right to suspend work, without liability, for non-payment or overdue accounts. All costs associated with collection, including legal fees, are the responsibility of the Client.

5. Construction Lien Rights

The Contractor reserves the right to register a construction lien under the Construction Act (Ontario) for unpaid amounts.

6. Taxes

All amounts are exclusive of HST.

7. Changes in Work

Any change to the scope, whether requested by the Client or required due to site conditions, will be treated as a change order.

Change order work will be billed on a time-and-materials basis plus a 15% markup, unless otherwise agreed in writing.

8. Site Conditions & Delays

Unforeseen conditions, concealed elements, weather, client delays, or third-party actions may impact cost and schedule.

All resulting impacts, including labour downtime, remobilization, material changes, and extended project duration, will be billed on a time-and-materials basis.

9. Site Readiness

The site must be ready for work upon arrival. If the site is not ready, inaccessible, or unsafe, time on site will be billed, including standby, delay, or remobilization costs.

10. Client Responsibilities

Client to provide safe and uninterrupted site access, obtain all required permits and approvals, and make timely decisions.

Delays caused by the Client may result in additional costs, including standby time, rescheduling, and remobilization.

11. Documentation

The Contractor may document the project through photos and/or videos for record-keeping, quality control, and dispute resolution purposes.

12. Insurance & Liability

Contractor maintains appropriate insurance coverage.

To the fullest extent permitted by law, the Contractor’s liability is limited to the total value of services provided under this Agreement. The Contractor is not liable for indirect, incidental, or consequential damages.

13. Termination

Either party may terminate with 7 days’ written notice.

The Client is responsible for all work performed, materials purchased, and costs incurred up to the date of termination, including demobilization, restocking, and cancellation costs.

14. Warranty

Work is warranted for one (1) year against defects in workmanship.

This warranty excludes normal wear and tear, material failure, misuse, lack of maintenance, and work altered or performed by others.

15. Dispute Resolution

Disputes will first be addressed through good-faith negotiation. Failing resolution, disputes may proceed to mediation or legal action in Ontario.

16. Governing Law

This Agreement is governed by the laws of Ontario.

17. Entire Agreement

This document constitutes the entire Agreement and supersedes all prior discussions or representations.

18. Acceptance

Approval of the estimate or commencement of work constitutes acceptance of these terms.
